Advanced Corporate Business Transactions
Advanced Corporate Business Transactions, part of Emond Montgomery’s Working with the Law series, is by Elizabeth Gillis and a stellar group of contributing authors.
This text is a companion to Advanced Corporate Legal Procedures written by a group of expert authors who provide in-depth examinations of corporate legal procedures. This text discusses the steps to be taken in the course of conducting required due diligence under a range of different circumstances, and describes in detail how to review a minute book and complete various types of corporate searches. It also examines procedures to implement tax-driven transactions such as amalgamations, rollovers, and dissolutions and describes the steps to follow when a corporation wishes to acquire the shares or assets of another business.
Ms. Gillis is Director, Corporate Services at the Toronto office of Miller Thomson, LLP. As a member of the firm’s management team, she is responsible for the administration of corporate search services, corporate law clerks, and other paralegals. She has served in various positions with the Institute of Law Clerks of Ontario (ILCO), including those of president, secretary, and program committee member.
The authors have presented the law behind the procedures as well as the documents and processes required to complete transactions. Readers will benefit from the straightforward, pragmatic approach of this text.
